Message to ARIA members Though the 2009 election of officers is several months away, it is not too early to consider individuals who might be interested in serving on ARIA’s Board. Office is open to all ARIA members regardless of residence. Two members will be elected to a three year term on the Board. One Board position will represent the industry or an insurance organization/association and the other will represent academia. Nominations also are open for Vice President, although Board members whose terms are expiring are usually considered first for nomination for this position. Names of individuals for consideration as possible nominees to the 2009 ARIA Board should be emailed to the Executive Office, aria@cpcuiia.org no later than December 15, 2008. Names will be provided to the Nominations Committee for their consideration. The final slate of nominees will be presented to the Board for their approval and then ballots will be distributed to ARIA’s current members in April 2009. Also related to the election of officers, the section of the By-Laws describing the Committee on Nominations is presented below.
BY-LAWS American Risk and Insurance Association
B. There shall be a Committee on Nominations. This committee shall consist of eleven members, one of whom shall serve as Chairperson. At least two of the eleven members shall be past officers of the Association. The members and the Chairperson of this Committee shall be appointed by the President, subject to the approval of the Board of Directors, as early in each year as possible. The duties of this Committee shall be set forth in the By-laws concerning election procedures.
ARIA’s Board has agreed that 11 nomination committee members is unwieldy. The number should be reduced to five, with one member representing the industry or an insurance organization/association. As a result, an amendment to the By-Laws is presented herein for a vote by the membership. A By-Law can be voted on via email or postal mail rather than waiting until the annual meeting. See below.
VIII. AMENDMENTS
The By-Laws may be amended by submitting the proposed amendment, signed by at least two-thirds of the members of the Board of Directors or twenty members of the Association, to the members of the Association. The members shall either ratify or reject the amendment by a written communication addressed to the Executive Director of the Association. The amendment shall be deemed ratified and effective only if two-thirds of the votes received within one month of the date on which the copy of the amendment is forwarded to the members are in favor of such amendment.
The suggested amendment to the section of the By-Laws addressing the Committee on Nominations would read:
B. There shall be a Committee on Nominations. This committee shall consist of five members, one of whom shall serve as Chairperson. One member shall represent the insurance industry or an insurance organization/association. At least two of the five members shall be past officers of the Association. The Chairperson of the Committee on Nominations, who shall appoint the additional members of the committee, shall be appointed by the President. All members of the Committee on Nominations are subject to the approval of the Board of Directors, as early in each year as possible. The duties of this Committee shall be set forth in the By-Laws concerning election procedures.
